How to use this calculator
- Date of Incorporation: Enter the company's incorporation date from the Certificate of Incorporation (e.g. 31/12/2023).
- First AGM (auto-calculated): If incorporated on or before 31 Dec, the first AGM is by 31 Dec of the next year. If incorporated between 1 Jan and 31 Mar, one financial year is skipped — first AGM is by 31 Dec of the year after next. (Section 96 — within 9 months of first FY end.) You can override this manually.
- AOC-4 pending from: Pick the earliest financial year for which AOC-4 has not yet been filed. The calculator will then show pending fines for every year from that point up to the most recent overdue year.
- MGT-7 pending from: Auto-syncs to the AOC year. Change manually if MGT-7 was filed for some years but AOC-4 wasn't (rare).
- Today's date & filing expected days: Today's date is auto-set. "Filing expected in" lets you preview the fine if filing is delayed by N days (default 10).
- CFSS / Amnesty relief: Tick the box only when an active MCA scheme is open. Set the deadline date and the discount % (e.g. 10% means pay only 10% of the calculated fine). Untick if no scheme is active.
- Per-year breakdown: Each pending year shows its own AGM due date, AOC-4 due, MGT-7 due, late days as of today, and accrued fine. The grand total at the bottom is the sum across all overdue years.

Tip: The most recent FY (whose AGM date hasn't passed yet) is excluded from the fine — it's not overdue. As of today (May 2026), FY 2025-26 is not yet overdue.

Why act now
- The fine increases by Rs 200 every single day (Rs 100 per form × 2 forms × every overdue year).
- The MCA V3 portal is known to be slow or fail near deadlines — leaving it to the last day is risky.
- Continued non-filing for 3+ years can attract director disqualification under Section 164(2) of the Companies Act.
- If a CFSS / amnesty window is open, missing it means paying the full fine instead of the discounted amount.
