Director KYC Filing Online: The New 3-Year Rule
Director KYC is no longer an every-year filing. Find your next due year, understand the unified DIR-3 KYC Web form and report mobile, email or address changes on time.
Less repetition, faster change reporting
Routine DIN KYC now follows a three-financial-year cycle. But a director cannot wait for that cycle when a personal mobile number, email address or residential address changes.

No—Director KYC is not an annual filing after 31 March 2026
Periodic KYC is now filed once every third consecutive financial year in Form DIR-3 KYC Web. The applicable filing is due by 30 June. A specified personal-detail change is different: it must be reported within 30 days and does not wait for the three-year cycle.
What changed in the Director KYC rule?
The Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 substituted Rule 12A and changed both the frequency and the form used for Director KYC.
| Point | Position before 31 March 2026 | Position from 31 March 2026 |
|---|---|---|
| Routine frequency | Every financial year | Once every third consecutive financial year |
| Routine due date | 30 September of the next financial year | 30 June after the applicable third financial year |
| Forms | DIR-3 KYC and DIR-3 KYC-WEB | One unified Form DIR-3 KYC Web |
| Specified changes | Handled through the earlier form structure | Mobile, email and residential-address changes within 30 days |
| Mid-cycle update effect | Not applicable in the same form | Does not reset the three-year periodic cycle |
Directors still need a recurring KYC control, but the statutory periodic filing is triennial. Companies should replace a yearly filing reminder with a due-year register plus a continuous 30-day change-alert process.
Do you need to file DIR-3 KYC Web this year?
Do not answer this from the calendar year alone. The due year depends on when the DIN was allotted and the financial year for which the last valid KYC compliance was completed.
Illustration for a DIN allotted on or before 31 March 2025 where KYC was completed for FY 2025-26 and no specified detail changes.
28The transition illustration places the first triennial filing between 1 April and 30 June 2029.
29A mobile, email or residential-address update does not shift the periodic KYC due year.
30Record four fields for every DIN: allotment date, last compliant KYC financial year, next periodic due date and date of any personal-detail change. This is safer than keeping one generic “DIR-3 KYC due” reminder for all directors.
Who comes within the new Rule 12A?
The substituted rule applies to every individual who holds a Director Identification Number as on 31 March of the relevant financial year. The practical question is whether that DIN has reached its periodic filing year or has a reportable change.
Active appointment
Track the three-year KYC cycle separately from the company's AOC-4, MGT-7 or event-based filings.
DIN still held
Resignation from a company does not itself cancel the DIN. The individual should review the periodic KYC position until the DIN is validly surrendered or cancelled.
DIN or DPIN holder
An individual using the identification number for an LLP should not assume the company-director label removes the KYC requirement.
Overseas residence
The cycle still applies. Passport, address, contact and authentication requirements should be prepared early.
Filing KYC keeps the DIN identity record compliant; it does not cure a separate disqualification, company default or adjudication matter.
What the unified DIR-3 KYC Web form now covers
From 31 March 2026, the old choice between DIR-3 KYC and DIR-3 KYC-WEB has been removed. The filing begins with one web form and the selected purpose controls the relevant fields, proof, authentication and fee.
| Filing purpose | When it applies | Key preparation | Fee position |
|---|---|---|---|
| Periodic KYC compliance | The applicable third consecutive financial year has ended | DIN history, current identity, personal contacts and address | Nil when on time |
| Update of particulars | Personal mobile, email, permanent address or present address changes | New detail, documentary proof and filing within 30 days | ₹500 for each subsequent change filing under the fee rule |
| DIN reactivation | DIN is deactivated because the applicable KYC was not filed | Correct KYC record, authentication and reactivation purpose | ₹5,000 |
Draft or pending legacy DIR-3 KYC forms were not meant to carry forward after the new form took effect. Begin with the current DIR-3 KYC Web service visible on MCA V3.
Mobile, email or address changed? Do not wait three years
Rule 12A(2) creates a separate event-based duty. The individual must submit DIR-3 KYC Web within 30 days when a personal mobile number, email address, permanent residential address or present residential address changes.
Record the effective date and identify which DIN-linked particular changed.
Collect clear documentary evidence supporting the new personal detail.
Submit the update purpose through the unified DIR-3 KYC Web form.
Keep the original periodic KYC due year in the compliance register. An intervening update and the next periodic KYC are two separate controls.
DIR-3 KYC Web documents and details checklist
The exact screen and attachments depend on the purpose selected. Periodic confirmation, a change filing and DIN reactivation do not necessarily ask for the same evidence.
PAN, Aadhaar or passport
Indian-national details should agree with PAN and other records shown in the webform. Foreign nationals should keep a valid passport and the prescribed supporting record ready.
Permanent and present address
Verify both addresses. When an address changes, keep current proof that clearly supports the new particular and meets the portal requirement.
Personal mobile and email
The director should have live access to both personal contact channels for the OTP process. Avoid shared office or professional contact details.
DSC and MCA profile
Keep the director's valid DSC associated with the correct MCA V3 profile where the selected purpose generates a signing or upload step.
Proof of changed particular
Documentary proof is especially important for a mobile, email or residential-address update. Use clear and legible files in the accepted format.
Certification where applicable
Keep a practising CA, CS or CMA available where the current webform and selected purpose require professional verification or digital certification.
Compare every pre-filled item against the underlying record before generating OTPs. A fast OTP cannot correct a mismatch in the director's name, PAN, passport or address history.
How to file DIR-3 KYC Web online
The current MCA portal should control the exact sequence. These steps help organise the filing before the webform is opened.
Confirm the due year
Check the DIN allotment date, last compliant KYC financial year and whether the three-year cycle has reached its filing window.
Choose the filing purpose
Select periodic KYC compliance, update of specified particulars or reactivation of a DIN. This choice determines the relevant fields and fee.
Open DIR-3 KYC Web on MCA V3
Use the director's appropriate MCA profile and verify the DIN-linked pre-filled record.
Review identity and address
Compare the webform with PAN, passport, permanent address, present address and the DIN master data before confirming anything.
Complete OTP and supporting steps
Verify the personal mobile and email. For a change, upload the supporting proof and complete DSC or certification steps displayed for that purpose.
Submit, pay and save
Complete the applicable payment, submit the form and preserve the SRN, acknowledgement and the final filed record.
Use the current unified DIR-3 KYC Web service after the 31 March 2026 transition. A saved legacy form may not reflect the amended purpose, fields or fee logic.
OTP, DSC and professional certification
The unified webform does not mean every purpose follows an identical authentication path. Routine confirmation can be simpler, while a change or reactivation can trigger additional proof and signing controls.
Mobile and email OTP
Schedule the filing when the director can access both personal channels. Check the country code and masked details before sending an OTP.
DSC and certification readiness
Where the live webform generates a DSC document or professional-verification step, use a valid associated DSC and an eligible practising CA, CS or CMA.
Run the DSC and profile check before starting a change or reactivation filing. A correct form can still remain incomplete if the portal cannot recognise the signing certificate.
Foreign and non-resident directors
A foreign nationality or overseas residential address does not create a separate annual cycle. The same periodic Rule 12A framework applies to a person holding a DIN, while the identity, address-proof and authentication requirements must fit the overseas record.
Foreign directors should check passport validity, overseas address proof, country code, mobile reachability and any attestation requirement well before their due window. MCA has previously issued an advisory for foreign directors facing OTP-generation issues and directed unresolved cases to the MCA Helpdesk.
Test the overseas number
Do not discover an international OTP-routing problem on the last filing day. Confirm that the mobile can receive the portal message.
Review foreign-document attestation
Where proof is required, confirm whether notarisation, apostille or consular attestation applies to the document and jurisdiction.
DIR-3 KYC Web fees and DIN reactivation
G.S.R. 300(E) created a purpose-based fee structure for the unified webform. The amount depends on whether the periodic filing is timely, delayed, for reactivation or a subsequent change filing.
Nil MCA fee when filed within the Rule 12A(1) timeline.
Applies after the periodic timeline or when the form is filed to reactivate a DIN.
For every further filing under Rule 12A(2) to update specified particulars.
What happens after the applicable deadline is missed?
The DIN may be marked deactivated because KYC was not filed. The holder should use DIR-3 KYC Web for reactivation, complete the required validation and pay ₹5,000. Reactivation corrects the KYC status; it does not settle any unrelated director disqualification or company filing default.
A triennial system reduces routine filings, but it also makes the correct due-year register more important. Missing one periodic window can still create a ₹5,000 reactivation cost for that DIN.
Six Director KYC mistakes to avoid in 2026
Still using 30 September
The amended periodic deadline is 30 June after the applicable third consecutive financial year.
Filing every year without checking
Routine KYC is no longer yearly. First establish whether this is the DIN holder's due year.
Waiting three years after a change
Personal mobile, email and residential-address changes have their own 30-day reporting rule.
Resetting the cycle after an update
A mid-cycle change filing does not move the next periodic KYC date.
Opening an old form
Use the unified DIR-3 KYC Web service effective from 31 March 2026, not a legacy draft.
Keeping no audit trail
Retain the due-date calculation, change proof, SRN, payment record and acknowledgement.
How to manage KYC with company annual compliance
The Director KYC frequency changed, but company annual returns and financial statements did not become triennial. Keep the DIN-holder calendar and company calendar separate.
When using company registration services or forming a private limited company, capture each director's DIN allotment date and verified personal details from the start. Then maintain the periodic KYC year alongside annual compliance, board changes and DSC renewal dates.
The registered office still determines ROC jurisdiction. CompanyJi's Registrar of Companies list helps identify the relevant office, while the ROC late-fees calculator addresses separate company-form delays—not the DIR-3 KYC Web fee.

DIR-3 KYC Web FAQs for 2026
Is DIR-3 KYC required to be filed every year after 31 March 2026?

What details must be updated within 30 days?
A change in the director's personal mobile number, email address, permanent residential address or present residential address must be reported through DIR-3 KYC Web within 30 days of the change.
Does a mid-cycle address or contact update reset the three-year KYC cycle?
No. A filing made to update mobile, email or residential address during the intervening period does not reset the periodic three-year KYC cycle.
What are the DIR-3 KYC Web filing fees?
The notified fee is nil for timely periodic KYC, ₹5,000 for filing after the applicable deadline or for DIN reactivation, and ₹500 for every subsequent change filing under Rule 12A(2).

The DIN may be marked deactivated for KYC non-filing. The unified form can be filed for reactivation with the prescribed ₹5,000 fee.
Are documents required for a change filing?
Yes. Documentary proof of the changed mobile, email or residential-address particulars should be prepared and attached as required by the current DIR-3 KYC Web form.
Is Director KYC the same as company annual filing?
No. Director KYC is a DIN-holder compliance. AOC-4, MGT-7 or MGT-7A and other company filings remain separate and continue on their own statutory timelines.
